Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Shelfie platform ("Shelfie", "the Service", "we", "us"). By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind that business.

1. The Service

Shelfie is a software-as-a-service platform for South African retail and field-service businesses. It provides point-of-sale, product and stock management, quoting and invoicing, field-service job management, and WhatsApp-based customer ordering. Features available to you depend on your subscription and the modules enabled for your account. We may add, change or remove features over time.

2. Accounts and security

  • You must provide accurate registration details and keep them current.
  • You are responsible for all activity under your account and for keeping your credentials confidential.
  • You are responsible for the users you invite and the access levels you grant them.
  • Notify us promptly of any unauthorised use or security breach.

3. Acceptable use

You agree not to:

  • Use the Service unlawfully, or to send spam or unsolicited messages, including over WhatsApp in breach of WhatsApp's or Twilio's policies.
  • Upload or transmit unlawful, infringing, malicious or harmful content.
  • Attempt to gain unauthorised access to the Service, other tenants' data, or our infrastructure.
  • Probe, scan, overload or disrupt the Service, or circumvent rate limits or security controls.
  • Resell or sublicense the Service without our written agreement.

You are responsible for ensuring you have a lawful basis to process your own customers' personal information through the Service.

4. Your data

You retain ownership of the data you put into the Service. You grant us a limited licence to host and process that data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy and POPIA Disclosure.

5. Subscription and billing

  • The Service is offered on a recurring monthly subscription, billed in South African Rand (ZAR).
  • Subscriptions are collected through our payment provider, Paystack. By subscribing you authorise the recurring charge until you cancel.
  • Fees are billed in advance for each billing cycle. Prices are inclusive of VAT where applicable, and we will indicate this at checkout.
  • If a payment fails, we may suspend or limit access until the amount due is settled.
  • We may change pricing on reasonable prior notice; changes take effect from your next billing cycle.
  • WhatsApp numbers: if we provision a dedicated WhatsApp number for your shop, it is held on Shelfie's account while your subscription is active. If you cancel, we will on request help you port it out at no charge so you keep the number. Numbers you supply yourself (your own SIM or an existing number) belong to you and are unaffected by cancellation.

6. Payments taken from your customers

Where you enable online payments, your customers' card and EFT payments are processed through your own connected payment provider account (e.g. iKhokha). Those funds flow to you, not to Shelfie, and your relationship with that provider is governed by their terms. Shelfie is not a party to, and is not responsible for, those payments.

7. Availability and support

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance and may suspend the Service where necessary to protect it or comply with the law. We will make reasonable efforts to give notice of planned downtime.

8. Third-party services

The Service integrates with third parties (including Paystack, iKhokha and Twilio). Your use of those integrations may be subject to their terms, and we are not responsible for their acts, omissions or availability.

9. Disclaimers and limitation of liability

To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. Nothing in these Terms excludes liability that cannot lawfully be excluded under South African law, including under the Consumer Protection Act where it applies.

Subject to the above, we are not liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or in connection with the Service is limited to the subscription fees you paid to us in the three (3) months immediately before the event giving rise to the claim.

10. Suspension and termination

  • You may stop using the Service and cancel your subscription at any time (see the Refund & Cancellation Policy).
  • We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service unlawfully.
  • On termination, your right to use the Service ends. We will handle your data in line with the retention terms in our Privacy Policy and applicable law.

11. Governing law

These Terms are governed by the laws of the Republic of South Africa, and you submit to the jurisdiction of the South African courts.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the platform or by email, and continued use after the effective date constitutes acceptance.
